Terms of Service

These Terms of Service (“Terms”) are an agreement between you and ShuruAI (“ShuruAI”, “we”, “us”). They cover the ShuruAI website at shuruai.app, the studio, the marketplace, the API and every other part of the service we provide (together, the “Service”).

By creating an account or using the Service you accept these Terms and our Privacy Policy. If you use the Service on behalf of a company or other organisation, you confirm that you are authorised to accept these Terms for it, and “you” includes that organisation. If you do not agree, do not use the Service.

You must be at least 18 years old, and old enough to form a binding contract where you live, to create an account or use the Service. The Service is not directed at children. If we learn that an account belongs to someone under 18, we will close it.

You sign in with your email address, either with a password or with a one-time sign-in link sent to that address. You are responsible for keeping your password, your email account and any API keys you create secure, and for all activity that happens under your account.

• Give accurate information and keep your email address current, because that is how we reach you.
• Accounts are personal. Do not share sign-in details or sell, transfer or rent your account.
• If your plan includes API access, treat API keys like passwords. Requests made with your key count as your activity and use your credits. Revoke a key you think is exposed.
• Tell us promptly if you believe someone has accessed your account without permission.

Credits

Generating content costs credits. The cost is shown before you generate, and multi-step productions ask you to confirm the total first. Current plans, credit allowances and prices are listed on the pricing page.

• Each paid plan adds its monthly credit allowance to your balance when you subscribe and at each renewal. Renewals add to your balance; they do not reset it.
• Top-up credits are added to your balance and do not expire.
• If a generation fails, the credits for it are returned to your balance automatically. If a long generation completes only in part, the credits for the unfinished part are returned.
• Credits are a prepaid right to use the Service. They have no cash value, cannot be exchanged for money and cannot be transferred to another account, except that credits you earn from marketplace sales can be cashed out as described under Marketplace.

Payments

Payments are processed by our payment processors, currently Square for card payments and PayPal. You give your payment details to them, not to us, and their terms also apply. We never see or store your full card number.

Prices are shown in US dollars. Card payments may be settled in another currency, in which case we charge the equivalent of the displayed price at the exchange rate at the time of payment. Your card issuer may add its own foreign-transaction fees.

Renewal and cancellation

Paid plans run for monthly billing periods. When you subscribe by card, your card is saved with Square so the plan can renew. You can cancel at any time from the Billing page in your account. Cancelling stops future charges; your plan stays active until the end of the current billing period, and credits already in your balance stay there.

If a renewal payment fails, your plan stays active for 7 more days so you can update your payment method. After that the plan lapses.

Refunds

Payments for plans and top-ups are for credits that are available to use immediately, so we do not offer self-serve refunds. If you think you were charged in error, contact us and we will review it. When a payment is refunded, whether by us or through the payment processor, the credits that payment added are removed from your balance. Nothing in these Terms limits any refund right you have under the consumer law that applies to you.

Price changes

We may change plans, prices and credit costs. A change to a plan price applies from your next billing period after the change is published, and you can cancel before then. Credit costs shown in the studio at the time you generate are the ones that apply.

“Your Content” means what you put into the Service: photos, videos, audio, scripts and other files you upload, the prompts and instructions you write, and the actors, projects and settings you create.

You keep ownership of Your Content. You give us a worldwide, non-exclusive, royalty-free licence to host, store, copy, process, adapt and display Your Content only as needed to run the Service for you: to generate the outputs you ask for, to show your work back to you, to publish what you choose to make public, to keep the Service safe, and to comply with the law. This licence ends when Your Content is deleted from the Service, except for copies we must keep for legal reasons or that are in routine backups, and except for anything you have published or licensed to other users, which continues for as long as that publication or licence does.

You confirm that you own or have permission to use everything you upload, including the right to use the face, body and voice of any real person in it, and that your use of the Service does not break any law or anyone else’s rights.

“Outputs” are the images, videos, audio, scripts and other material the Service generates for you. As between you and us, and to the extent the law allows, you own your Outputs and can use them for any lawful purpose, including commercial use, subject to these Terms and to any licence terms attached to marketplace actors or scripts you used.

• AI systems can produce similar results for different people. Other users may receive Outputs that resemble yours, and your ownership does not extend to their Outputs.
• In some countries, material generated by AI may not be protected by copyright, or protection may depend on your own creative contribution. We make no promise that your Outputs are protectable.
• We do not use your Outputs in our own marketing unless you opt in through the showcase setting that allows it. You can turn that setting off at any time for future use.

Outputs are generated automatically by AI models and are probabilistic. They can be inaccurate, inconsistent, unexpected or unsuitable for your purpose, and the same request can produce different results. Generated people, voices and events are synthetic and do not depict real events unless you made them from real material.

You are responsible for reviewing Outputs before you rely on or publish them, for any claims you make with them, and for labelling synthetic media where the law or a platform you post to requires it.

AI actors can be built from photos, video or audio of real people. Using a real person’s face, body or voice without their permission can harm them and can be unlawful. These rules apply to every actor you create, whether it is private or listed.

• Only create an actor from a real person if that person is you, or you hold their informed, written consent to create and use a digital likeness of them for the purposes you intend.
• Never create an actor of a person under 18.
• Do not use anyone’s likeness or voice to impersonate them, to put words in their mouth that they did not say in a way that could deceive, or to show them in sexual, degrading or harmful content.
• Keep proof of consent and give it to us if we ask. If consent is withdrawn, stop using the actor.

Before an actor can be listed on the marketplace, we review it for likeness consent and content suitability. We can remove an actor, and unlist it, at any time if we have concerns about consent.

The marketplace lets creators license AI actors and scripts to other users. When you list or license something, the terms shown in the product at that moment apply alongside these Terms. They currently read as follows.

Listing an AI actor

• You own or control all rights to this actor and its likeness, and you have any consents required to license it.
• You grant ShuruAI the right to display this actor in the marketplace and to license its use to others on the platform.
• Buyers receive a non-exclusive right to use this actor in their own projects; they cannot resell or re-list it.
• You set the price. You are paid the listed price in credits each time a new buyer licenses this actor.
• You may unlist at any time, which stops new licensing going forward (it does not revoke licenses already granted).

Listing a script

• You confirm you own or control all rights to this script.
• By listing it, you grant ShuruAI the EXCLUSIVE right to license and distribute copies of it through the platform.
• While it is listed here, you will not offer the same script for licensing on any other marketplace or platform.
• Buyers receive a shared, non-exclusive editable copy; you keep authorship credit and your own working copy.
• You may unlist at any time, which stops new licensing going forward (it does not revoke copies already sold).

Creator earnings

Marketplace earnings are paid to you in credits. Credits you have earned from licences, less any you have already cashed out or requested, can be requested as a cash payout. Payouts are made through Stripe Connect where available (you agree to Stripe’s terms when you connect an account) or by another method we arrange with you. We review payout requests and may decline or hold one where we suspect fraud, a consent problem or a breach of these Terms. You are responsible for any taxes on your earnings.

If we introduce a platform fee on licence sales, it will apply only to licences sold after we announce it.

Buying a licence

A licence gives you a non-exclusive right to use the actor or script in your own projects on the terms shown at purchase. You may not resell, re-list or sublicense it. Unlisting by the creator stops new licences but does not revoke yours.

You can choose to publish work to the public showcase or to a public profile. Before you make work public, you must confirm that you have the rights to share it. Public work can be seen, shared and linked to by anyone, including people without an account. You can make it private again, but we cannot recall copies others have already downloaded or shared.

You may not use the Service to create, upload, request or share:

• Sexual or sexually suggestive content of any kind.
• Any content that sexualises, depicts or targets anyone under 18.
• A real person’s likeness or voice without their consent, or content that impersonates a real person.
• Deepfakes or other synthetic media intended to deceive, including fake statements by real people, fake news, and content designed to interfere with elections or public processes.
• Harassment, bullying, threats, hate speech, or content that promotes violence or self-harm.
• Graphic violence or gore intended to shock.
• Fraud, scams, phishing, misleading advertising or fake reviews and testimonials.
• Content that infringes copyright, trademark, privacy, publicity or other rights.
• Anything illegal where you or the people you target are.

You also may not:

• Get around credit costs, usage limits, moderation or security controls.
• Access the Service by automated means other than our API, or overload, probe or disrupt it.
• Reverse-engineer the Service, or try to extract its prompts, models or internal logic.
• Resell access to the Service without our written agreement.

Generation prompts are checked automatically, and requests that appear to break these rules are blocked. Automated checks are not perfect; you remain responsible for what you create.

The Service relies on third-party providers, including AI model and infrastructure providers, hosting and database providers, email delivery and payment processors. We choose them carefully, but we are not responsible for services we do not control, and some features may change or become unavailable if a provider changes or stops its service.

You can stop using the Service at any time. To close your account and have your data deleted, contact us; see the Privacy Policy for what we delete and what we must keep.

We may suspend or close your account, remove content, or block a feature for you if you break these Terms, if we are required to by law, or if your use puts other users, third parties or the Service at risk. Where it is reasonable and lawful, we will tell you why and give you a chance to respond.

Sections that by their nature should survive termination, including those on content licences already granted, disclaimers, limitation of liability and indemnity, continue to apply.

The Service is provided “as is” and “as available”. To the extent the law allows, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title and non-infringement. We do not promise that the Service will be uninterrupted or error-free, that Outputs will meet your needs, or that stored content will never be lost; keep your own copies of anything important.

To the extent the law allows, we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, arising from or related to the Service.

To the extent the law allows, our total liability for all claims arising from or related to the Service is limited to the greater of the amount you paid us in the 12 months before the event giving rise to the claim, or US$100.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited by law, such as liability for fraud or for death or personal injury caused by negligence, or any rights you have as a consumer that cannot be waived.

To the extent the law allows, you will defend and compensate us against claims, losses and costs (including reasonable legal fees) brought by third parties that arise from Your Content, from your use of anyone’s likeness or voice, or from your breach of these Terms.

We improve the Service continuously and may add, change or remove features. We may update these Terms; the date at the top of this page shows when they last changed. For material changes we will give reasonable notice, by email or in the product, before they take effect. If you keep using the Service after changes take effect, the updated Terms apply; if you do not agree, stop using the Service and cancel your plan.

These Terms, together with the Privacy Policy and any in-product terms referred to above, are the whole agreement between you and us about the Service. If a provision is found unenforceable, the rest remains in effect. Our not enforcing a provision is not a waiver. You may not transfer your rights under these Terms without our consent; we may transfer ours as part of a merger, acquisition or sale of assets.

If you believe content on the Service uses your likeness or voice without consent, infringes your rights, or breaks the acceptable use rules, contact us with a link to the content and an explanation. Likeness and child-safety reports are handled first.

Questions about these Terms can be sent to ShuruAI from the email address on your account. We will verify that a request comes from the account holder before acting on it.
